This statement sets out the disclaimers and risk disclosures applicable to the use of the Equity Sentience platform (the "Platform"), which is operated by FinShift Global ("FinShift"). You should read this statement carefully before using the Platform, and you should read it together with the Terms of Use and the Privacy Policy published at /terms and /privacy.
1. No registration as Research Analyst or Investment Adviser
1.1 FinShift Global is not registered with the Securities and Exchange Board of India ("SEBI") as a Research Analyst under the SEBI (Research Analysts) Regulations 2014, nor as an Investment Adviser under the SEBI (Investment Advisers) Regulations 2013.
1.2 The content displayed on the Platform, including any score, signal, rating, classification, watchlist entry, paper-trade proposal, regime call, or thesis (collectively, the "Output"), is provided for general information and education only. The Output is not a research report, an investment recommendation, investment advice, or a solicitation to buy or sell any security or financial product.
1.3 The Output is not tailored to the investment objectives, financial situation, tax position, or specific needs of any individual recipient. You should not rely on the Output as the sole basis for any investment decision. Before acting on any information obtained from the Platform, you should consult a SEBI-registered Investment Adviser, your tax counsel, and your legal counsel.
1.4 The Output is generic. It is generated by automated systems and is made available on the same basis to every recipient who has access to the relevant view. It is not prepared for, and is not tailored to, the circumstances of any particular person, and you shall not represent or redistribute the Output as a research report, as investment advice, or as a recommendation.
1.5 FinShift does not promise, guarantee, or assure any return, profit, income, or protection of capital. Any score, signal, ranking, stop level, or target level is a parameter of an automated, simulated model, is presented for information only, and may prove to be wrong.
1.6 The Output is derived from publicly available information. FinShift does not seek, hold, or disseminate unpublished price-sensitive information. You shall not use the Platform, or any Output, in a manner that would contravene the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations 2015 or the Securities and Exchange Board of India (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations 2003.
1.7 Because FinShift is not registered with SEBI, the investor grievance and dispute resolution mechanisms administered by SEBI and the stock exchanges, including the SCORES portal and the Online Dispute Resolution mechanism for the securities market, do not apply to the Platform. Grievances are addressed through the mechanism described in the Grievance Redressal Policy and under the Information Technology Act 2000.
2. Algorithmic and AI-generated content
2.1 A material portion of the Output is produced by algorithmic computation, by statistical inference, and by large language models, including models operated by third-party providers.
2.2 Algorithmic and AI-generated output is subject to known limitations, including the risk of hallucination (the production of plausible content that is factually incorrect), training data bias, distributional shift, prompt injection, and silent failure. Output that appears authoritative may nevertheless be incorrect or misleading.
2.3 You acknowledge that you have been informed of these limitations and that you assume the risk of acting on AI-generated content. You agree to verify any information obtained from the Platform against an independent and authoritative source before acting on it.
3. Past and simulated performance
3.1 The Platform may display the results of backtests, strategy replays, or other simulations of historical performance. Such results are hypothetical, were prepared with the benefit of hindsight, and do not reflect actual trading.
3.2 Simulated performance does not account for many factors that affect real trading, including liquidity constraints, market impact, slippage, brokerage, statutory transaction taxes, exchange transaction charges, securities transaction tax, stamp duty, goods and services tax, regulatory restrictions, human factors, and the difficulty of executing at the prices used in the simulation.
3.3 Past performance, whether actual or simulated, is not indicative of and does not guarantee future performance. No representation is made that any account, strategy, or person will or is likely to achieve profits or losses similar to those displayed.
4. Risk of capital loss
4.1 Investments in securities markets are subject to market risk. Equity prices fluctuate, sometimes sharply and over short periods. You may lose part or all of the capital you invest.
4.2 The risk of loss in trading futures, options, derivatives, leveraged products, and small-cap or low-liquidity securities can be substantial. You should not invest funds you cannot afford to lose, and you should not enter into a transaction that you do not fully understand.
4.3 Diversification does not assure a profit or protect against loss in a declining market. Stop-loss and target-price levels suggested in the Output, if any, may not be achievable in fast-moving or gapped markets.
4.4 Investments in the securities market are subject to market risk. You should read all the related documents, including this statement, the Terms of Use, and any document published by the relevant issuer or exchange, carefully before investing.
5. Data sources and accuracy
5.1 The Platform consumes data from third-party sources including the National Stock Exchange of India, BSE Limited, the Reserve Bank of India, the Federal Reserve Economic Data service, Yahoo Finance, the United States Securities and Exchange Commission, and various news publishers.
5.2 FinShift does not control these third-party sources and makes no representation as to the accuracy, completeness, timeliness, or fitness for purpose of the data they provide. The Platform may display data that is stale, partial, or incorrect. You agree that FinShift has no liability for any loss arising from your reliance on such data.
6. Paper trading only
6.1 The positions displayed on the dashboard are simulated (paper) positions. FinShift does not execute trades, does not hold client securities or funds, does not operate as a broker, and does not route any order to any broker, exchange, or other intermediary.
6.2 If broker integration is introduced in the future, it will require explicit, per-account opt-in. FinShift will publish revised disclosures at that time, including additional risk disclosures specific to live execution.
7. Conflicts of interest
7.1 FinShift, its partners, and its personnel may hold positions in securities mentioned on the Platform. Such positions may have been entered into before, and may be held after, the display of any related Output. FinShift does not undertake to disclose individual positions.
7.2 FinShift does not currently receive any commission, referral fee, or other consideration from any broker, issuer, or third-party recipient of any Output. If FinShift enters into any such arrangement in the future, that arrangement will be disclosed on the Platform.
8. United States persons and offshore use
8.1 The Platform is operated from India. It is not directed at, and does not solicit business from, any person located in the United States of America.
8.2 If you are a United States person within the meaning of the United States securities laws, your access to the Platform may be regulated under the United States Investment Advisers Act of 1940 and the rules of the United States Securities and Exchange Commission. You are responsible for determining whether your access to the Platform complies with the laws applicable to you, and you shall not rely on the Platform as the source of any investment decision in violation of those laws.
8.3 Information relating to securities listed on United States exchanges (including the New York Stock Exchange and the Nasdaq Stock Market) is provided for informational and educational purposes only. It is not an offer or solicitation to buy or sell those securities in any jurisdiction in which such offer or solicitation is prohibited.
9. Indian residents investing in foreign securities
9.1 If you are a resident of India and you choose to invest in securities listed on foreign exchanges, you are responsible for compliance with the Foreign Exchange Management Act 1999, the regulations issued by the Reserve Bank of India under that Act, the Liberalised Remittance Scheme, and the applicable provisions of the Income-tax Act 1961, including the reporting obligations relating to foreign assets and foreign income.

11. No tax advice
11.1 The Platform does not provide tax advice. The tax treatment of any investment depends on your individual circumstances and may change. You should consult your own tax adviser before making any investment decision.
