Terms of Use

These Terms of Use (the "Terms") form a binding agreement between FinShift Global ("FinShift", "we", "us", or "our") and you ("User" or "you") and govern your access to and use of the Equity Sentience platform, including the marketing site at equitysentience.in, the dashboard, the application programming interface, any data, output, or report produced by the platform, and any related service (collectively, the "Platform"). By accessing or using the Platform you confirm that you have read, understood, and accepted these Terms. If you do not accept these Terms, please do not access or use the Platform.

1. Definitions

1.1 "Account" means the credentials and access rights granted to you for the dashboard.

1.2 "Content" means any information, data, analysis, classification, score, signal, regime call, watchlist entry, paper-trade artefact, backtest result, or other material produced by, displayed on, or made available through the Platform.

1.3 "Indian Securities Laws" means the Securities and Exchange Board of India Act 1992, the Securities Contracts (Regulation) Act 1956, the Depositories Act 1996, and the rules, regulations, and circulars issued under them, as amended from time to time.

1.4 "User Data" means information you provide to FinShift in connection with your use of the Platform, including the data collected through the access-request form and any credentials issued to you.

2. About the operator

2.1 The Platform is operated by FinShift Global, a partnership firm constituted under the Indian Partnership Act 1932, having its registered office at 13-248, Sitanagaram, Tadepalle Mandal, Guntur, Andhra Pradesh, 522503, India.

2.2 FinShift Global is not registered with the Securities and Exchange Board of India ("SEBI") as an Investment Adviser under the SEBI (Investment Advisers) Regulations 2013, nor as a Research Analyst under the SEBI (Research Analysts) Regulations 2014, nor as a Stock Broker, nor as a Portfolio Manager, nor in any other capacity under Indian Securities Laws.

3. What the Platform is

3.1 The Platform is a research and information service that ingests publicly available market data, policy text, corporate filings, news, and similar inputs, and applies deterministic computation together with large language model inference to produce informational outputs across multiple analytical views (policy, market climate, fundamentals, news, technical, governance, consensus, and positions).

3.2 The Platform may cover securities listed on Indian exchanges (including the National Stock Exchange of India and the BSE) and on United States exchanges (including the New York Stock Exchange and the Nasdaq Stock Market). The inclusion of a security on the Platform is for informational purposes only and does not constitute an offer, invitation, inducement, or solicitation to buy, sell, subscribe to, or deal in that security.

4. What the Platform is not

4.1 The Platform does not provide investment advice. No Content on the Platform is, or should be construed as, a recommendation, solicitation, or offer to buy or sell any security, derivative, currency, commodity, or any other financial instrument.

4.2 The Platform does not establish any client relationship, fiduciary duty, or advisory relationship between FinShift and you. The Content is not tailored to your investment objectives, financial situation, tax position, or particular needs.

4.3 You should consult a SEBI-registered Investment Adviser before acting on any information you obtain from the Platform. Any action you take on the basis of Content is taken at your sole discretion and risk.

4.4 The Platform does not execute trades, hold client securities or funds, operate as a broker, or route any order to any broker, exchange, or other intermediary. The positions shown on the dashboard are simulated (paper) positions only.

4.5 The Content is generic in nature. It is produced by automated systems and is made available on the same basis to every User who has access to the relevant view. It is not prepared for, and is not tailored to, any particular person. Any directional indication, conviction score, ranking, stop level, or target level shown on the Platform is a parameter of an automated, simulated model and is presented for information only. It is not a price target, a research report, or a recommendation, and you shall not present or redistribute it as any of those.

4.6 FinShift does not promise, guarantee, or assure any return, profit, income, or protection of capital, and does not represent that any strategy, score, or signal will be profitable. Any view about a future outcome is an estimate of probability and may prove to be wrong.

4.7 The Content is derived from publicly available information. FinShift does not seek, hold, or disseminate unpublished price-sensitive information. You shall not use the Platform, or any Content, in a manner that would contravene the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations 2015 or the Securities and Exchange Board of India (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations 2003.

5. Algorithmic and AI-generated Content

5.1 A material portion of the Content is generated by algorithms and by large language model inference, including inference performed by third-party model providers. Such Content may contain errors, omissions, biases, hallucinations, or inaccuracies. FinShift does not warrant the correctness, completeness, or reliability of any Content.

5.2 You acknowledge that automated systems can fail in ways that are not immediately visible to the operator. You agree that you will not treat any Content as a substitute for independent verification, professional advice, or your own analysis.

6. Backtests and simulations

6.1 The Platform may display backtested or simulated performance results. Such results are hypothetical and were prepared with the benefit of hindsight. They do not reflect actual trading and do not represent any actual position held by FinShift or by any User.

6.2 Simulated results do not account for many factors that affect real trading, including liquidity, market impact, slippage, commissions, statutory levies, taxes, financing costs, regulatory restrictions, and human factors. Real execution will differ from simulated execution, and the difference may be material.

6.3 Past performance, whether actual or simulated, is not indicative of and does not guarantee future performance. No representation is made that any account, strategy, or User will or is likely to achieve profits or losses similar to those shown.

7. Eligibility and account

7.1 You must be at least 18 years of age and competent to contract under the Indian Contract Act 1872 to use the Platform.

7.2 Access to the dashboard is granted at FinShift's sole discretion and may be modified, suspended, or revoked at any time, with or without notice, for any reason or no reason.

7.3 Your Account is personal to you. You shall not share, sell, transfer, or sublicense your credentials. You are responsible for all activity that occurs under your Account and shall notify FinShift promptly of any unauthorised use or suspected compromise of your credentials.

8. Permitted use

8.1 Subject to your compliance with these Terms, FinShift grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use.

8.2 You shall not, and shall not attempt to, do any of the following:

  • (a) use any robot, spider, scraper, or other automated means to access, extract, or republish any part of the Platform or any Content, except for any access expressly permitted by FinShift in writing;
  • (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, models, prompts, or trade secrets of the Platform;
  • (c) interfere with, disrupt, probe, or test the vulnerability of the Platform, its security controls, or its underlying infrastructure;
  • (d) circumvent any rate limit, access control, or authentication mechanism;
  • (e) use the Platform in any manner that violates any applicable law, regulation, or third-party right;
  • (f) represent any Content as investment advice, a recommendation, or a guarantee of any outcome, whether to any third party or to the public; or
  • (g) use the Platform in connection with the development or training of any model that competes with the Platform; or
  • (h) use the Platform to engage in, or to facilitate, insider trading, market manipulation, or any other act prohibited under Indian Securities Laws.

9. Intellectual property

9.1 The Platform, the Content, the underlying source code, the design of the marketing site and the dashboard, the prompts, the model configurations, the "Equity Sentience" name, and all associated trade marks, service marks, and logos are the property of FinShift Global and are protected under applicable laws including the Copyright Act 1957, the Trade Marks Act 1999, and the Information Technology Act 2000.

9.2 No right, title, or interest in the Platform or in any Content is transferred to you by virtue of these Terms except the limited licence in clause 8.1.

9.3 You may take occasional screenshots of the dashboard for your personal records. Any other reproduction, republication, distribution, modification, or commercial exploitation of the Platform or of any Content requires the prior written permission of FinShift.

10. Third-party data and services

10.1 The Platform ingests data from third-party sources including the National Stock Exchange of India, BSE Limited, the Reserve Bank of India, the Federal Reserve Economic Data (FRED) service, Yahoo Finance, the Securities and Exchange Commission of the United States, and various news publishers. FinShift does not control these sources and does not warrant the accuracy, completeness, or timeliness of the data they provide.

10.2 The Platform uses third-party service providers including Vercel Inc. (hosting), Railway Corp. (hosting and database), and Anthropic, PBC (large language model inference). Your use of the Platform may be subject to the terms and policies of these providers.

11. Cross-border use

11.1 The Platform is operated from India and is primarily directed at residents of India.

11.2 Information relating to securities listed on United States exchanges is provided for informational and educational purposes only. The Platform does not solicit business from, and is not directed at, any person located in the United States. If you are a United States person (within the meaning of the United States securities laws), you are responsible for ensuring that your access to the Platform complies with the laws applicable to you, including the United States Investment Advisers Act of 1940 and the rules of the United States Securities and Exchange Commission.

11.3 If you are a resident of India and you choose to invest in securities listed on foreign exchanges, you are responsible for compliance with the Foreign Exchange Management Act 1999, the Liberalised Remittance Scheme of the Reserve Bank of India, and the applicable provisions of the Income-tax Act 1961.

12. Privacy

12.1 FinShift collects and processes personal data in accordance with the Privacy Policy published at /privacy. The Privacy Policy forms part of these Terms.

13. Fees and taxes

13.1 The Platform is currently provided without charge for users granted access. FinShift reserves the right to introduce paid plans in the future. Any fees, refund terms, and billing cadence will be disclosed before you are asked to pay.

13.2 Where Goods and Services Tax or any other tax applies to any service provided under these Terms, that tax will be added to the price and is payable by you.

14. Disclaimer of warranties

14.1 The Platform and the Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, FinShift disclaims all warranties, conditions, and representations of any kind, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, quiet enjoyment, or that the Platform will be uninterrupted, free from defects or errors, or secure.

15. Limitation of liability

15.1 To the maximum extent permitted by applicable law, FinShift, its partners, employees, agents, and service providers shall not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, trading losses, or losses arising from any investment decision, whether based in contract, tort (including negligence), strict liability, or any other theory of liability, even if FinShift has been advised of the possibility of such damages.

15.2 The aggregate liability of FinShift to you for all claims arising out of or in connection with the Platform or these Terms shall not exceed the greater of the amounts paid by you to FinShift in the twelve months preceding the event giving rise to the claim, or one thousand Indian Rupees (INR 1,000).

15.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnification

16.1 You agree to indemnify, defend, and hold harmless FinShift, its partners, employees, agents, and service providers from and against any claim, demand, action, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party right; or (d) your use of, or reliance on, any Content.

17. Suspension and termination

17.1 FinShift may suspend or terminate your access to the Platform at any time, with or without notice, where FinShift reasonably believes that you have breached these Terms, that your use of the Platform poses a risk to FinShift, to other Users, or to any third party, or that suspension or termination is required by applicable law.

17.2 You may stop using the Platform at any time. Clauses relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive the termination of these Terms.

18. Force majeure

18.1 FinShift shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, war, civil unrest, pandemic, fire, flood, power failure, telecommunications failure, third-party service outage, regulatory action, or change in law.

19. Changes to these Terms

19.1 FinShift may amend these Terms from time to time. The revised Terms will be posted on this page with an updated "Last updated" date. Where the amendment is material, FinShift will use reasonable efforts to notify Users through the dashboard or by email.

19.2 Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of those Terms. If you do not accept the revised Terms, you shall stop using the Platform.

20. Grievance redressal

20.1 In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021 and the Consumer Protection (E-Commerce) Rules 2020, FinShift has designated a Grievance Officer. The mechanism for raising and resolving grievances is set out at /grievance.

20.2 FinShift is not registered with SEBI in any capacity. The investor grievance and dispute resolution mechanisms administered by SEBI and the stock exchanges, including the SCORES portal and the Online Dispute Resolution mechanism for the securities market, do not apply to the Platform. Grievances are addressed through the mechanism described in the Grievance Redressal Policy and under the Information Technology Act 2000.

21. Governing law and jurisdiction

21.1 These Terms are governed by, and shall be construed in accordance with, the laws of the Republic of India, without regard to its conflict of law provisions.

21.2 Subject to clause 21.3, the courts at Guntur, Andhra Pradesh, India shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or in connection with these Terms.

21.3 FinShift may, at its option, refer any dispute to arbitration under the Arbitration and Conciliation Act 1996, to be conducted by a sole arbitrator appointed by FinShift, seated in Guntur, Andhra Pradesh, India, and conducted in the English language. The award of the arbitrator shall be final and binding on the parties.

22. Miscellaneous

22.1 These Terms, together with the Privacy Policy, the Disclaimer and Risk Disclosure, and the Grievance Redressal Policy, constitute the entire agreement between FinShift and you with respect to the Platform.

22.2 If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

22.3 No waiver of any provision of these Terms by FinShift shall be deemed a further or continuing waiver of that provision or of any other provision.

22.4 You shall not assign or transfer any of your rights or obligations under these Terms without the prior written consent of FinShift. FinShift may assign or transfer its rights and obligations under these Terms without your consent.

22.5 These Terms are an electronic record under the Information Technology Act 2000 and are generated by a computer system. They do not require any physical or digital signature and are valid and enforceable in accordance with Section 10A of that Act. By accessing or using the Platform, you signify your acceptance of these Terms.
